1.

PURPOSE The purpose of this document is to ensure that CONTRACTOR shall perform all procurement activities necessary for completion of the WORK following this criteria for selection of SUBCONTRACTORS and VENDORS.

2.

SCOPE This document defines the process for selecting SUBCONTRACTORS and VENDORS for procurement of major GOODS and / or services. COMPANY’S strategy is to provide CONTRACTOR with a degree of flexibility in sourcing GOODS utilising its own experience and market knowledge to enhance quality and reduce overall cost. At the same time, COMPANY requires the CONTRACTOR to comply with COMPANY’S standard requirements.

The edition of the Reference Documents shall be the edition current at the EFFECTIVE DATE of the AGREEMENT. CONTRACTOR shall comply with COMPANY instruction to comply with any changed Reference Documents. CONTRACTOR shall advise COMPANY of any conflict between the referenced documents and any technical specification. COMPANY shall determine which shall govern.

5.

RESPONSIBILITIES The CONTRACTOR is responsible to comply with the implementation of this Procedure.

6.

PROCEDURE

6.1

EQUIPMENT STANDARDISATION PHILOSOPHY The document Equipment Standardisation Philosophy advises the basis for the Standardisation Philosophy and identifies the equipment types which are subject to this philosophy (Refer to Document No CC01A-0-00000-PM-PHL-0001). For equipment types not listed in the Equipment Standardisation Philosophy, the CONTRACTOR is free to nominate VENDORS and SUBCONTRACTORS in accordance with the procedure contained in this document.

7.

SELECTION OF SUBCONTRACTORS Selection of any SUBCONTRACTOR for performance of any portion of the WORK shall be based, amongst other factors, on technical merit and the ability to comply with the SCHEDULE. For the purpose of this Section 7, SUBCONTRACTORS excludes VENDORS. Refer to Section 8 of this document for requirements for selection of VENDORS.

7.1

Subcontracting Plan CONTRACTOR’S preliminary Subcontracting Plan is included as Attachment 1 (Preliminary Subcontracting Plan). The requirements relating to the establishment and updating of the Subcontracting Plan are covered in Procurement Services (Refer to Document No. CC01A-0-00000-PS-PRO-0002).

7.2

SUBCONTRACTOR Bid Lists CONTRACTOR shall comply with the following provisions for selection of SUBCONTRACTORS to be included on the SUBCONTRACTOR lists for the WORK (refer to Attachment 2 SUBCONTRACTORS List)

7.2.1

SUBCONTRACTOR List (SL) The SUBCONTRACTOR List (SL) in Attachment-2 contains the approved potential SUBCONTRACTORS being categorized under Class “Q” of the first tier and other subcontracts of significance. CONTRACTOR shall be free to issue enquiries to any/all SUBCONTRACTORS included in the SL for their respective scope.

It is anticipated during the EPC selection process an approved SUBCONTRACTORS list will be developed from CONTRACTOR’S input at Tender stage. CONTRACTOR shall submit for COMPANY’S approval its SUBCONTRACTOR List utilizing the qualified SUBCONTRACTOR List given in attachment 2 along with its request for deviation from this list (with justification therefore) during the Technical Evaluation of CONTRACTOR’S Tender. A Pre-qualification Dossier containing information as stated in Attachment 5 Method A of this document shall be submitted for all proposed SUBCONTRACTORS deviated from the qualified list of Attachment 2 for COMPANY’S review and approval. It is COMPANY’S intention to review the proposed SUBCONTRACTORS and classify them as “Q”, “TBQ”, or “Not Acceptable” in accordance with “Criteria for Selection of Subcontractors and Vendors” as stated in Attachment 5 Method A and shall advise the CONTRACTOR accordingly. This Subcontractor List shall constitute the Contractor’s Approved List CONTRACTOR shall ensure, prior to issuing Invitation to Tender, that there are at least three (3) SUBCONTRACTORS in Category “Q” for each item. CONTRACTOR shall not issue enquiries to any SUBCONTRACTOR other than those included in the Approved SL under Class “Q” except with prior approval of COMPANY, which will be granted only under exceptional circumstances The SUBCONTRACTORS List agreed by COMPANY with the CONTRACTOR shall contain all the SUBCONTRACTORS classified as “Q” or “TBQ” and will be included as Attachment 2 of this document CC000-0-00000-PS-PRO-0004 - Criteria for Selection of Subcontractors and Vendors. This list will ultimately become an exhibit to the AGREEMENT. 7.2.2

Additional SUBCONTRACTORS For any proposed additional WORK and WORK where a list of SUBCONTRACTORS has not been pre-approved, CONTRACTOR shall submit to COMPANY within forty five (45) days of the EFFECTIVE DATE or four (4) weeks prior to the date set for issuance of inquiry for a SUBCONTRACTOR, whichever is the earlier, its list proposing SUBCONTRACTORS. This submission shall use the form in Attachment 3, and CONTRACTOR shall complete the forms using the COMPANY’S Work Group Listing in Attachment 4. COMPANY will evaluate CONTRACTOR’S proposed SUBCONTRACTOR lists and assign one of the following classifications: Page 5 of 154

Class ‘‘Q’’ This classification will be given to SUBCONTRACTORS who comply with COMPANY’S registration requirements and who are known to COMPANY from a previous project. An inquiry can be issued Class “Q” SUBCONTRACTORS without further approvals from COMPANY. Class ‘‘TBQ’’ This classification will be given to SUBCONTRACTORS who do not comply with COMPANY’s registration requirements and/or who are not known to COMPANY. CONTRACTOR may issue enquiries to Class “TBQ” SUBCONTRACTORS at its discretion, however, these shall be considered for evaluation only after upgrade from Class “TBQ” to Class “Q”. However, CONTRACTOR shall issue enquiries to all “Q” category SUBCONTRACTORS before considering any “TBQ” VENDOR for issue of enquiry. Class ‘‘Not Acceptable’’ This will be given by COMPANY to those SUBCONTRACTORS in respect of which information is available confirming inadequate capability or unacceptable past performance or other reason. COMPANY reserves the right to reject any subcontractor nominated by CONTRACTOR. CONTRACTOR shall not issue inquires to such SUBCONTRACTORS.

7.3

Pre-Qualification Requirements In order to upgrade a proposed SUBCONTRACTOR from Class “TBQ” to Class “Q”, CONTRACTOR shall submit a Pre-qualification Dossier containing information as stated in Attachment 5 Method A and Method B for COMPANY’S review. CONTRACTOR shall plan its activities in a manner so as to allow sufficient time for pre-qualification of the proposed SUBCONTRACTORS without affecting the SCHEDULE.

7.4

Subcontractor Evaluation & Award

7.4.1

CONTRACTOR shall technically evaluate the SUBCONTRACTORS and submit evaluations for COMPANY approval. Following COMPANY approval of the technical evaluation, CONTRACTOR shall submit the award recommendation at least four (4) weeks prior to the date set for award of the subcontract. COMPANY requirements for technical evaluation and award recommendation are contained in Procurement Services procedure (document no. CC01A-0-00000-PSPRO-0002).

7.4.2

CONTRACTOR’S Technical Evaluation shall address COMPANY’S selection criteria that follow: Registration Requirements      

Valid Trade License from Abu Dhabi Municipality covering the services to be provided. Valid Registration Certificate from Abu Dhabi Chamber of Commerce & Industry covering the services to be provided. Oil and Gas Classification for above. Contractor Classification from Abu Dhabi Planning Department, if available. Valid Consultant Registration Certificate from Abu Dhabi Planning Department (for Consultant only), if available. Registration with COMPANY.

Technical Requirements          

7.4.3

Compliance with SUBCONTRACT scope of work. Compliance with SPECIFICATIONS. Structured organisation, manpower and equipment in a condition that allows safe operation and in quantities that would meet job requirements. Adequate direct experience in jobs of similar scope and order of magnitude in the last five years, especially in the UAE or Gulf region. Current workload and availability of resources to comply with SCHEDULE requirements. Documented Quality Assurance / Quality Control Programs (typically ISO 9001). Documented Health, Safety and Environmental Systems and Procedures (typically compliance with ISO 14001). Excellent Safety Record. Financial soundness and solvency. Compliance with Insurance Coverage requirements.

Subject to compliance with the registration and technical requirements of the selection criteria, COMPANY will approve the technical bid evaluation recommendations submitted by CONTRACTOR. Final approval of selected SUBCONTRACTOR and approval for award shall be subject to the provisions of Section 10 of this document.

7.5

Commercial Terms and Conditions CONTRACTOR shall be responsible for finalising with the SUBCONTRACTORS commercial terms and conditions which comply with the requirements of the AGREEMENT.

8.

SELECTION OF VENDORS Selection of any VENDOR for supply of GOODS for the WORK shall be based, amongst other factors, on technical merit and lowest life cycle value. In this context life cycle cost means the total cost over a ten year period considering capital, maintenance and operating cost associated with the equipment.

8.1

Procurement Plan CONTRACTOR’S Procurement Plan shall be established and updated in accordance with the Procurement Services procedure (document no. CC01A-0-00000-PS-PRO0002).

8.2

Vendor Lists

8.2.1

Nominated/Restricted VENDORS The lists of nominated/restricted VENDORS based on requirements such as technical compatibility and/or standardisation is enclosed in Attachment 6 and Attachment 11. CONTRACTOR shall negotiate directly with such nominated/restricted VENDORS for the supply of the specific GOODS in question. In some cases, Attachment 11 contains more than one VENDOR for Standardised Equipment. It is anticipated that during EPC selection / execution, one single VENDOR will be confirmed and advised by COMPANY. If a single VENDOR has not been confirmed, CONTRACTOR may issue inquiries to any/all VENDORS listed. In this case, CONTRACTOR’s inquiry shall also specify that VENDOR’s pricing shall be applicable to the entire PROJECT, including any future enquiries from other L/EPC CONTRACTORS. CONTRACTOR’S bid evaluation shall be submitted to COMPANY as defined elsewhere in the AGREEMENT. If COMPANY accepts CONTRACTOR’s proposed VENDOR, the VENDOR shall become the single APPROVED VENDOR for that category of Standardised Equipment.

8.2.2

VENDOR List for Major GOODS (VL) The VL in Attachment 7 contains the pre-approved VENDORS from which CONTRACTOR may procure major GOODS. CONTRACTOR must also comply with the requirements of the nominated/restricted VENDOR list. Page 8 of 154

CONTRACTOR may proceed to issue inquiries to any/all potential VENDORS that are Class “Q” from the pre-approved VENDORS for their respective GOODS. It is anticipated during the EPC selection process an approved VENDORS list will be developed from CONTRACTOR’S input at Tender stage. CONTRACTOR shall submit for COMPANY’S approval its VENDORS List utilizing the qualified VENDORS List given in attachment 7 along with its request for deviation if any from this list (with justification therefore) during the Technical Evaluation of CONTRACTOR’S Tender. This list will ultimately become an exhibit to the AGREEMENT. 8.2.3

Additional VENDOR List for Other GOODS (AVL) CONTRACTOR shall submit the detailed list of additional GOODS required for the WORK. Within forty five (45) days of the EFFECTIVE DATE or four (4) weeks prior to the date set for issuance of an inquiry for a purchase order, whichever is earlier, CONTRACTOR shall submit to COMPANY a detailed list identifying proposed VENDORS for additional GOODS utilising the form in Attachment 8. CONTRACTOR shall refer to COMPANY’S Product Group Listing in Attachment 9 to complete the forms. COMPANY will evaluate CONTRACTOR’S proposed VENDOR lists and assign the following classification: Class ‘‘Q’’ This classification will be given to VENDORS who comply with COMPANY’S registration requirements and who are known to COMPANY from a previous project. An enquiry can be issued Class “Q” VENDORS without further approvals from COMPANY. Class ‘‘TBQ’’ Page 9 of 154

This classification will be given to VENDORS who do not comply with COMPANY’s registration requirements and/or who are not known to COMPANY. CONTRACTOR may issue inquiries to Class “TBQ” VENDORS at its discretion, however, these shall be considered for evaluation only after upgrade from Class “TBQ” to Class “Q”. However, CONTRACTOR shall issue enquiries to all “Q” category VENDORS before considering any ‘T.B.Q’ VENDOR for issue of enquiry. Class ‘‘Not Acceptable’’ This will be from VENDOR’s list in Attachment 7 as “Not Acceptable VENDORS” in respect of which information is available confirming inadequate capability or unacceptable past performance. CONTRACTOR shall not issue enquires to such VENDORS.

8.3

CONTRACTOR shall plan its activities in a manner so as to allow sufficient time for pre-qualification of the proposed VENDORS without affecting the SCHEDULE.

8.4

Vendor Evaluation & Award

8.4.1

CONTRACTOR shall technically evaluate the VENDORS offers and submit evaluations for APPROVAL. Following COMPANY approval of the technical evaluation, CONTRACTOR shall submit the award recommendation at least four (4) weeks prior to the date set for award of purchase order. COMPANY requirements for technical evaluation and award recommendation are contained in Procurement Services procedure (document no. CC01A-0-00000-PSPRO-0002).

8.4.2

CONTRACTOR’S Technical Evaluation shall address COMPANY’S selection criteria that follow: Registration Requirements Agency Agreement with an Abu Dhabi company endorsed by the required UAE authorities (applicable to non Abu Dhabi based VENDORS). Registration with COMPANY. Technical Requirements   

Compliance with scope of supply. Compliance with SPECIFICATIONS. Internationally recognised for high quality and reliability. Page 10 of 154

Advanced level of technology with capability to upgrade in future. Compliance with the essential requirements of ISO 9001:2008. Excellent Safety Record. Compliance with SCHEDULE. Current workload and availability of resources. Availability of after sales support facilities in Abu Dhabi such as stock of spare parts, repair facility, technical support and training centres for plant operators and technician. Good performance track record in terms of quality, responsiveness, cost control, safety, completion schedule, business ethics, etc. Adequate past experience in supply of similar items in the last five years, especially in the UAE or the Gulf region. Past experience with ADNOC Group of Companies will be preferred. Commitment for continued provision of spares for the life of the GOODS. Financial soundness and solvency. Life cycle operating cost. Operating spare parts cost. All Stockists / Distributors / Trading Houses shall only be considered subject to COMPANY acceptance of satisfactory source of manufacturer/origin. GOODS supplied for piping materials, or mechanical valves must be supplied by reputable VENDORS or mills which can provide experience of similar GOODS supply. COMPANY reserves the right to reject any Vendor nominated by CONTRACTOR. Engineering companies and packagers shall be considered subject to approval of major sub-suppliers by COMPANY.

Subject to compliance with the registration and technical requirements of the selection criteria, COMPANY will approve the technical bid evaluation recommendations submitted by CONTRACTOR. Final approval of the selected VENDOR and approval for award shall be subject to the provisions contained in section 10 of this document.

8.5

Commercial Terms and Conditions CONTRACTOR shall be responsible for finalising with the VENDORS the commercial terms and conditions which comply with the requirements of the AGREEMENT.

9.

LOCAL AND REGIONAL RESOURCES COMPANY requires that the CONTRACTOR maximises, wherever possible, the involvement of local and regional resources in the implementation of the WORK.

10.

COMPANY SELECTION OF OTHER THAN RECOMMENDED SUBCONTRACTOR / VENDOR COMPANY reserves the right to select, from amongst the technically acceptable SUBCONTRACTORS/VENDORS, a SUBCONTRACTOR/VENDOR other than the one recommended by CONTRACTOR. Frequent exercising of this right by COMPANY is not anticipated. Any additional costs to CONTRACTOR, directly attributable to exercising of this right by COMPANY, shall be reimbursed to CONTRACTOR in accordance with the provisions of the AGREEMENT. Should COMPANY exercise this right, COMPANY shall have the right of access to the original priced quotations by SUBCONTRACTORS/VENDORS. CONTRACTOR’s award recommendations shall accordingly include the difference payable by COMPANY to CONTRACTOR for each of the technically approved SUBCONTRACTORS/VENDORS other than the one recommended by CONTRACTOR. In addition to above, COMPANY may require CONTRACTOR to provide in respect of certain equipment/items a detailed life cycle cost analysis. This information shall be provided as part of the award recommendations wherever required by COMPANY.

Method A: Approved List by ADNOC and its Operating Companies (OPCOs) Received Registration/Qualification number of Sub-Contractors holding current positive qualification with ADNOC and its Operating Companies, specifying with which Company they are qualified/registered for each relevant work group experience. a. b.
