Seller Remedies- Flow Chart

Seller Remedies-UCC 2-703- Sellers Remedies in General In the event that the buyer has wrongfully rejected goods/revoked acceptance of goods/fails to make a payment, the seller may Withhold delivery Resell and recover damages (2-706) Recover damages for non acceptance or the K price Obtain Spec.Perform Recover liquidated damages Reclaim the goods      





2-706- Sellers Resale Seller may resell the goods in good faith and in a commercially reasonable manner  Damages- Seller may recover  o The difference b/w the resale price and the K price +incidental damages





2-708- Sellers Damages for Non acceptance of Goods Difference b/w the market  price at the time for  tender + the K price (subject to 2-723) + Incidental Damages (2710) - Expenses saved Seller may also 



2-710- Incidental Damages Includes any commercially reasonable charges related to the buyer’s breach Includes o Stoppage of Delivery(2-705) Care and custody of the goods after the breach o The return or resale of goods o Actions otherwise resulting from the goods o

2-708- Lost Profits If 2-706 and 2-708(1) do not make the seller whole Buyer may recover lost  profits + incidental damages Lost Volume included 




