Neither AP AGROS nor their employees or consultants make any representation or warranty as to the accuracy, reliability or completeness of the information in this RFQ and it is not possible for AP Agros to consider the investment objectives, financial situation and particular needs of each party who reads or uses this RFQ concerning the Project. Each prospective Applicant should conduct his own investigations and analysis and check the accuracy, reliability and completeness of the information in this RFQ and obtain independent advice from appropriate source before submission of this RFQ and later RFP if short-listed/qualified.

Neither AP AGROS nor their employees or consultants will have any liability to any prospective Applicant or any other person under the law of contract, tort, the principles of restitution or unjust enrichment or otherwise for any loss, expense or damage which may arise from or be incurred or suffered in connection with anything contained in this RFQ, any matter deemed to form part of this RFQ, the information and any other information supplied by or on behalf of AP Agros or their employees, their consultants or otherwise arising in any way from the pre-qualification process for the Project for issue of RFP.

AP AGROS reserves the right to reject any or all the Applications submitted in response to this RFQ process at any stage without assigning any reasons whatsoever. AP AGROS also reserves the right to hold, or withdraw or cancel the process at any stage under intimation to the Applicants who submit the Applications.

AP AGROS also reserves the right to modify or amend or add to any or all of the provisions of this RFQ Document or cancel the present Invitation and call for fresh Invitations. Such changes would be intimated to all parties procuring this RFQ Document.

Neither AP AGROS nor their employees or consultants will have any liability in case of non-receipt of any correspondence from them to the Applicants due to the postal delays.
7.
The applicable laws for the purpose are the laws of India. Courts of Hyderabad will have jurisdiction concerning or arising out of this RFQ Document.
8.
In case of any dispute or difference arising out of any contents of this document, if the dispute is not settled through mutual discussions, the matter shall be referred/settled as per Arbitration and Conciliation Act 1996 and the matter shall be referred to the sole Arbitrator i.e. the Principal Secretary, Agriculture & Cooperation Department, Government of Andhra Pradesh. The award passed by the Arbitrator shall be final and binding on all the parties.

1.0 Introduction
1.1 Background Andhra Pradesh is one of the Progressive States in the country with respect to Agricultural development and contributes substantially towards the food security of the country. More than 60% of the state population depends directly on the Agri Sector for their livelihood. Government of Andhra Pradesh provides active support to farming community for improving the productivity, marketability of the produce and sustainability of their livelihoods. Government of Andhra Pradesh has dedicated departments to provide comprehensive services and inputs to the farmers in pursuing Agricultural & Horticultural activities. The state government has taken proactive steps to support the farming community towards sustainable rural livelihoods and balanced economy. 1.2 AP AGROS The Andhra Pradesh State Agro Industries Corporation Limited was incorporated under the Companies Act 1956 as a Limited company and was subsequently changed to A. P. State Agro Industries Development Corporation Limited on 31.10.1979 (AP AGROS). The Corporation works under the administrative control of Agriculture & Cooperation Department, Government of Andhra Pradesh. The Corporation is actively pursuing the following activities: •
Land Development
AP AGROS assists the farming community in land development through own fleet of bull dozers across the state. Department of Rural Development, Tribal Development etc. utilizes the services of AP AGROS in land development activities under various schemes with an objective of providing assistance to the farmers. •
Farm Mechanization
The Corporation is actively pursuing the propagation of new technologies in farming sector. For this purpose, Corporation has established workshops for manufacturing of farm equipment & machinery and supplying them to the farmers. The Corporation is working as a Nodal Agency to Agriculture and Horticulture Departments and supplies farm machinery and other required agricultural inputs to the farmers on subsidy rates.

Agro Service Centres
The Corporation operates Agro Service Centres (ASCs) in 22 district head quarters across the state and supplying quality seeds, fertilizers, pesticides and farm equipment etc. ASCs also caters to the needs of the departments other than Agricultural by supplying miscellaneous items like HDPE sheets, tyres, tubes, tractor attachments, batteries for vehicles other than tractors etc. •
Agro Rytu Seva Kendras (ARSKs)
Agro Rytu Seva Kendrams are innovative model for creating self employment Opportunities to unemployed graduates in rural areas, particularly in Agri-Enterprises. The young entrepreneurs are given the required skill development to enable them to own and run the agri related businesses such as supply of fertilizers and pesticides, Seeds and farm implements at fixed Government rates. These ARSKs are allotted to unemployed graduates with preference to Agricultural Science graduates hailing from rural areas. The business model is developed such a way that, the un employed youth are not only the owners of the business but also provide the service to farming community. More details on the department are available on their website www.apagros.org 1.3 AGRO TRADE CENTREs AGRO TRADE CENTREs are conceptualized to provide all required inputs & services to the farmers at a single convenient location. The Agro Trade Centres are proposed to have warehouses, outlets for selling seeds, fertilizers, pesticides, farm equipment, veterinary medicines, animal feed along with service providers such as Banks, insurance companies, farm equipment hiring centres and other related establishments to serve the needs of farmers. In addition to the above, wherever feasible, other components such as shopping, food courts, multi function halls, budget hotels, dormitories etc are also proposed to make the AGRO TRADE CENTREs attractive for farmers, investors and better experience for local community.

1.4 AGRO TRADE CENTRE at Kurnool: Kurnool (also known as Kandenavolu) is the District headquarter located at about 210 kms from the State Capital Hyderabad situated at an average elevation of 274 meters (899 feet). The town rests at the confluence of the Tungabhadra and Hindri River. It is the gateway to Rayalaseema region and is the largest town in the area. Kurnool is the first capital of Andhra Pradesh during October 1953 to October 1956. It has many educational institutions and is also a major hub for banking and insurance companies. The town reflects rapid urbanization of the country with good infrastructure. The temples in and around Kurnool have Figure 1: Map showing location of Kurnool town history dating back to centuries with unique architectural marvel. 1.4.1 Site Location The study site of 2.00 acres is located at Kallur in Kurnool town and falls under the jurisdiction of within the APIIC (Andhra Pradesh Industrial Infrastructure Corporation) IALA (Industrial Area Local Authority) amidst of warehouses, Godowns and Mills. The existing landuse status of the proposed site is industrial use.

1.4.2 Connectivity and Accessibility The subject site is rectangular in shape with roads abutting on two sides of the site ( 50’ wide Internal Road on one side and 40’ wide road on the other side). The site is categorized as low density and slow developing stretch of the town. The topography of the subject is plain, covered with good vegetation. The land use in the surrounding area is predominantly industrial use. The site map along with the existing structures is earmarked in the following map. 1.4.3 Site Plan
Figure 2: Site Plan The site has godowns which are earmarked in the following map of which one is not operational and the other is leased out to a private tenant. 1.4.3 Need for AGRO TRADE CENTRE in Kurnool Based on the discussions with stakeholders, it is evident that there is a demand for development of an integrated agro hub/ agro warehouse to increase market accessibility for farmers and improve the quality of different agricultural inputs & Services. The following are the key factors that necessitate the need for development of Agro Trade Centre with specific focus on Warehousing: •
Kurnool, being the district headquarters and gateway to Rayalaseema region, has a huge potential for storage, processing and trading of agriculture produce.
•
There are inadequate organized warehousing facilities in the region for providing timely agri produce storage facilities to the farmers

•
Though the site surroundings are dominated with godowns and mills,warehouses are not adequate to the farmers from neighboring rural areas.
•
Sufficient organized warehousing place helps the farmers in storing the produce in the distress market times and avail the loan against warehouse receipts from formal sources of credit.
1.4.4 Proposed Product Mix: Based on the demand assessment, market survey and site analysis carried out, it is proposed to develop an “AGRO TRADE CENTRE” with following components in the subject Site of Kurnool: 2.0 Acre for Agro Warehouse/ Agro Trade Centre: Any of the components of Agro Warehousing and Grading Centre/Cold Storages, Retail & Wholesale Outlets of Seeds, Fertilizers, Pesticides, Animal feed, Sales & Service of Farm Equipment & Implements, Customer Hiring Outlets, Banks, Crop insurance etc. May also develop other Commercial Components in an area not exceeding 30% of the total area allotted for development. 1.4.5 Project Advisors: AP AGROS has retained IL&FS Infrastructure Development Corporation Ltd (IL&FS IDC) as the Advisors to undertake the project development activities from conceptualization of the Project till selection of private sector developer for implementation of the Project on Public Private Partnership (PPP) basis. AP AGROS invites Applications for Pre-Qualification (Request for Qualification) from the prospective developers / investors for Development of the proposed “Agro Trade Centre” at Kurnool.

2.0 Project Scope The scope for the selected developer would include the following activities: a) Developing Agro Trade Centre/ Agro Warehousing as explained in 1.4.4. (All the developments shall be as per the local building by-laws and building approvals) b) Operation and maintenance of the facilities for the given Authorization Period. c) Collection of rents & user charges as per the market conditions d) Shops and establishments, if any, in the Exclusive Agro Zone to be rented to relative purposes only. e) Transferring the facility to AP AGROS after Authorization Period.

3.0 Selection Process A two stage bidding process as detailed below is being followed for the selection of developer: Stage I: Request for Qualification (RFQ) Stage. Stage II: Request for Proposal (RFP) Stage. Stage I In the first stage of bidding process, Request for Qualification (RFQ) is being sought from the interested developers / investors, who meet the stipulated minimum eligibility criteria, to build, operate and transfer the proposed project i.e. “Development of Agro Trade Centre” at Kurnool. The Applications (Qualification Documents) received in response to this RFQ will be evaluated to assess whether the Applicant meets the minimum eligibility criteria required for participation in the second stage of bidding i.e. Request for Proposal (RFP) stage. Applicants can download the RFQ document from the websites www.apagros.org www.ilfsindia.com & www.iidcindia.co.in and submit a Demand Draft of Rs 10,000 (Rupees Ten Thousand only) in favor of “AP State Agro Industries Development Corporation Limited” payable at Hyderabad along with the submission of Qualification Documents. All interested Applicants shall submit their ‘Qualification Documents’ (Applications) to the following address latest by 16.00 Hrs on 05.01.2012 in sealed envelope. Stage II The qualified/shortlisted firms would be required to submit a Technical and Financial Proposals in response to the RFP. The technical proposals received would be evaluated on the basis of stipulated technical evaluation criteria. The financial proposals of only those bidders will be opened, who meet the technical evaluation criteria. The bidder, who submits the best proposal as per the price bid conditions, would be selected as ‘Preferred Bidder’ for award of the Project and entering in to an agreement with AP AGROS for the implementation of Project.

4.0 Eligibility Criteria The Applicant shall be either: a) Proprietorship, or b) Partnership Firm, or c) Company - Public or Private Ltd All the above entities shall have been registered under the applicable respective laws. The Applicant may be a single entity or consortium of entities not exceeding three. The Applicants shall meet the following minimum eligibility criteria: 4.1 Minimum Technical Qualification The Sole Applicant or any one of the Members of the Consortium should have: Been in the Business of Processing/ Manufacturing/ Distribution of any Agri Related Inputs, Equipments & Services with a minimum investment of Rs 100.00 lakhs (Rupees Hundred Lakhs) and the activity is operational in FY 2010-11 as per audited annual accounts. OR Developed /Operated at least 5000 Sft (Five Thousand Square Feet) Warehousing/ 500 MT (Five Hundred Metric Tonne) Cold Storage Project and should be operational on the date of publication of RFQ notification OR Developed/Constructed a Single Project of 10,000 Sft (Ten Thousand Square Feet) built up area in the last five years from the date of issue of RFQ. Note: Appropriate documentary evidence in the form of completion certificates etc. should be enclosed in support of the above. All the documentary evidence submitted by the Applicant(s) shall be to the satisfaction of AP AGROS. Decision of AP AGROS in accepting or rejecting such documentary evidence as submitted by the Applicant(s) is final and binding on the Applicant(s). OR 15

Firms/Companies having minimum investment of Rs. 100.00 lakhs (Rupees Hundred Lakhs) in Agro Processing industry (Rice Milling , Cotton Ginning ,Spice processing etc) and are operational as on the date of issue of RFQ OR High Net Worth Company/Firm with minimum Net Worth of Rs. 300.00 Lakhs (Rupees Three Hundred Lakhs) in the last financial year as per the audited Annual Accounts. 4.2 Minimum Financial Qualification The sole Applicant or Consortium together should have Average Annual Turn Over of Rs. 75.00 Lakhs (Rupees Seventy Five Lakhs only ) in the past three Financial Years (2008-09, 2009-10, 20010-11) as per the Audited Annual Accounts. AND Minimum Net-worth of Rs. 75.00 Lakhs (Rupees Seventy Five Lakhs only) {(Subscribed and paid up Share Capital + Reserves and Surplus) – (Revaluation Reserves + Miscellaneous expenditure not written off + Deferred Revenue Expenditure + Deficit in P & L Account if any)} in the past financial year, as per the Audited Annual Accounts i.e. as on 31.3.2011. Note: i. The Applicants should submit audited annual accounts for the all the relevant years in support of all the above financials. ii. In case the applicant is applying for more than one project, the Financial eligibility criteria increases proportionately (as per the net worth given for the town). 4.3 In case of Consortiums: Bids submitted by a Consortium of two or more persons as partners shall comply with the following requirements: (i) The number of members of the Consortium should not exceed 3 (three) (ii) A copy of Consortium Agreement duly signed by all the members of the Consortium shall be provided. One of the members of the Consortium shall be nominated by other members thereof as Lead Member. This authorization shall

be evidenced by submitting a Power of Attorney signed by legally authorized signatories of all the partners/consortium members; (iii) The Consortium Agreement shall state clearly the responsibilities proposed to be shared, among the members of consortium during project execution and implementation; (iv) The lead member of the Consortium need to satisfy at least 50% of the Financial Criteria and other members need to satisfy at least 10% of the Financial Criteria. (v) Any One of the members can fulfill the Technical Qualification Criteria (vi) The Lead Member shall be authorized by all members of the Consortium to incur liabilities and receive instructions for and on behalf of any and all members of the Consortium. (vii) The Lead member along with other Consortium members shall be jointly and severally liable for the execution of the project in accordance with the terms of the RFP. (viii)
Any change in the Members of bidding consortium after submission of the Bid could result in disqualification of the Bidder,
(ix) The Bid shall be legally binding on all the members of the consortium. 4.4
Special Purpose Company (SPC) and Equity Lock-in The selected bidder or consortium needs to form a Special Purpose Company (SPC) for exclusive implementation of the Project. The bidder/consortium as a whole shall hold a minimum of 51% of paid up equity share capital in the SPC for a minimum period of 10 years (Lock in Period) from the date of signing of the agreement. In case of consortium, the lead member shall hold a minimum of 26% of paid up equity share capital in the SPC for a minimum period of 10 years from the date of signing of the agreement. The other members of the consortium shall hold a minimum of 10% of paid up equity share capital in the SPC for a minimum period of 10 years from the date of signing of the agreement. Any change in the composition of consortium during the lock-in-period requires prior approval of AP AGROS.

Qualification through Affiliates (if any) The Bidding Company (in case of a single bidder)/ Consortium Member can draw upon the Technical Experience and Financial Capability of one or more of its Affiliates. In either case, the ownership relation between the Bidder and the Affiliate(s) must be explained.

For purposes hereof, “Affiliate” means with respect to a specified Person, any Person which is a holding company or subsidiary of such specified Person, or any Person which directly or indirectly, (a) owns or controls such specified Person, (b) is owned or controlled by such specified Person, or (c) is owned or controlled by the same Person, who, directly or indirectly, owns or controls such specified Person. For the purposes of this Document, the terms "holding company" and "subsidiary" shall have the meaning ascribed to them under Section 4 of the Companies Act, 1956 and the term "control" shall mean: (a) control over the composition of majority of board of directors of a company; or (b) control of more than 50% (fifty percent) of the voting shares of such Person (c) and with respect to a Person which is not a company or corporation, the power to direct the management and policies of such person, whether by operation of law or by contract or otherwise

The Applicant shall submit the documents either by registered post/ courier or in person, so as to reach the designated addressee by the time and date stipulated in the RFQ. AP AGROS shall not be responsible for any delay in submission of the same. Any Application received by AP AGROS after the deadline for the submission will not be considered for evaluation and will be returned un-opened.

6.0 General Information All Applicants should note the following: 1.
Each page of the Request for Qualification (RFQ) document should be initialed by the Authorized Representative and Signatory of the Entity / Consortium.
2.
Strict adherence to formats, wherever specified, is required. Non-adherence to formats may be a ground for declaring the Application non-responsive.
3.
In case a Consortium is selected as the Preferred Bidder, the Lead Member of the Consortium shall continue to remain as authorised entity and shall be responsible to AP AGROS for the fulfillment of all the contractual obligations.
4.
Change in the composition of Consortium will not be permitted during the qualification/bidding processes.
5.
All communication and information should be provided in writing and in English language only. Supporting documents and printed literature furnished by the Applicant with the Application may be in any other language provided, they are accompanied by appropriate translations of the pertinent passages in English language. Supporting materials, which are not translated into English, may not be considered. For the purpose of interpretation and evaluation of the Proposal, the English language translation shall prevail.
6.
All communication and information provided should be legible, and wherever the information is given in figures, the same should also be mentioned in words. In case of conflict between amounts stated in figures and words, the amount stated in words will be taken as correct.
7.
No change in or supplementary information to the Application shall be accepted once submitted. However, AP AGROS reserves the right to seek additional information / substantiation / clarifications from the Applicants, if found necessary, during the course of evaluation of the Qualification Documents. In case of nonsubmission or incomplete submission or delayed submission of such additional information/substantiation/ clarifications sought by AP AGROS, the Application would be evaluated solely on the basis of the available information.
8.
The Qualification Documents shall be evaluated as per the criteria specified in this RFQ Document. However, within the broad framework of the evaluation parameters as stated in the RFQ, AP AGROS reserves the right to make modifications to the stated evaluation criteria, which would be uniformly applied, to all the Applicants. 20

9.
The Qualification Documents (and any additional information requested subsequently) shall bear the initials of the Authorized Signatory and stamp of the entity thereof on each page.
10. Applicants are advised that their Applications be completely devoid of any conditions, whatsoever. Conditional Applications shall be liable for rejection. However suggestions and clarifications, if any, shall be sent in writing by the last date mentioned for receiving clarifications in the RFQ. In respect of conditions received, the following shall apply: • •
AP AGROS reserves the right not to consider any suggestions that are not found acceptable in the sole discretion of AP AGROS. If in AP AGROS’s opinion, certain suggestions are deemed acceptable, in whole or in part, the same shall be finalized by AP AGROS and the “Common Accepted Conditions” shall be made available to all Applicants.
11. AP AGROS reserves the right to reject any or all of the Applications without assigning any reason whatsoever. AP AGROS also reserves the right to hold the process or withdraw the process at its discretion under intimation to the parties submitting the RFQ. 12. AP AGROS reserves the right to vet and verify any or all information submitted by the Applicant. 13 If any claim made or information provided by the Applicant in the Application or any information provided by the Applicant in response to any subsequent query by AP AGROS, is found to be incorrect or is a material misrepresentation of facts, then the Application will be liable for rejection. Mere clerical errors or bonafide mistakes may be treated as an exception at the sole discretion of AP AGROS and if AP AGROS is adequately satisfied. 14 The Applicant shall be responsible for all the costs associated with the preparation of the Application. AP AGROS shall not be responsible in any way for such costs, regardless of the conduct or outcome of this process. 15 In the event of any of the submissions by the Applicant(s) with respect to Technical Qualification and Financial Qualification is found to be incorrect, false or misrepresented at any time during the selection process, the submissions by such Applicant(s) along-with the respective consortium shall be disqualified from the bid process. 16 In case the due date is holiday declared by State or Central Governments, the next working day will become the due date for submission of Qualification Documents. 21

If the Parties hereto succeed in the Bid, they propose to incorporate a Special Purpose Company (SPC), which will undertake financing, designing, construction, commissioning, marketing, operation and management of the Agro Trade Centre (“the Project”).

The Parties hereto are desirous of recording the broad terms of their understanding as set out here below:

NOW IT IS AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:1. That the Parties hereto agree to carry on the business in Joint Venture on the broad terms and conditions herein through a Special Purpose Company (SPC) to be incorporated by them with the shareholding commitments expressly stated to domicile the project, prior to the implementation. 2. That the business of the SPC will be that of Developing, Financing, Constructing, Operating, Managing and Transferring the Project. 3. That in the event the Parties hereto succeed in the Bid for the Project, the SPC will execute the Project in accordance with terms and conditions of the RFQ and RFP documents and will execute the Authorisation Agreement and all the documents/ writings/ papers with the AP AGROS and construct and commission the project in accordance with the plans/designs sanctioned by the appropriate /concerned authorities. 4. That it shall be ensured that the Consortium holds minimum 51% of the Share Capital of the SPC, ______________ (“the Lead Member”) holds at least 26% of the capital of the SPC for a period that shall not be less than Ten years from the date of signing of the Authorisation Agreement. The other members of the consortium shall hold a minimum of 10% of paid up equity share capital in the SPC for a minimum period of 10 years from the date of signing of the agreement. 5.
