1.
INTRODUCTION
1.1
Purpose This Appendix is an integral part of the Contract, and shall be read in conjunction with said Contract. The purpose of this Appendix is to establish Acceptance Procedures for testing of Network Elements, System and Services delivered under the Contract. The aim of the Acceptance Procedure is to ensure that the delivered Network Elements and Services fulfill the agreed Acceptance Criteria.
1.2
Definitions In all interpretations of this Appendix the definitions of the Contract shall govern in addition to the following definitions: Acceptance Criteria shall mean the general criteria for Acceptance set forth in Clause 2.6, and the criteria set forth in the Annexes that are relevant to specific services and/or network configurations, if any. The Acceptance Criteria defines when the respective Acceptance Tests have been successfully completed. Acceptance Procedure(s) is a collective term for all the procedures set out in the Contract including this Appendix and the Annexes of this Appendix which relate to the Acceptance of the Network Elements, Site, Services as well as to special services and/or network configurations, as defined in the Annexes of this Appendix delivered during the various phases of the performance of the Contract. Acceptance Test(s) or Test(s) shall mean: - the testing and inspection activity performed by the Supplier before and after installation at Site in accordance with this Appendix, - testing and/or inspection of the Network Element Delivered or Services carried out by the Supplier during the various phases of the performance of the Contract in accordance with this Appendix, from which the Purchaser can verify that the Network Element Delivered and/or Services carried out correspond to the Specifications set out in the Contract, and fulfill the Acceptance Criteria set forth in this Appendix. Commissioning shall mean all activities, as described in the standard commissioning manual of the Supplier for the Network Element in question, related to the configuration of the Network Element in order for it to be ready for connection to other Network Elements. The Commissioning includes Testing of the respective Network Element disconnected from other Network Elements. Microwave link commissioning involves Testing of both ends (A and B) of the link. Failure shall mean a defect, error or discrepancy causing noncompliance with the Specifications of the Network Element, Implementation Services or Special Services and/or Network Configurations (as defined in Annexes of this Appendix, if any) supplied by the Supplier. The Failures are classified in accordance with Clause 2.7.

Implementation shall mean the sequential combination of Installation, Commissioning and Integration as defined in this Acceptance Procedures. Installation shall mean the activities described in the Supplier’s relevant Installation Manuals of placing the equipment and materials to their desired physical location and connecting to the power supply. Integration shall mean connection of the Network Element to other relevant Network Elements on the Site and to the System, to the extent and as defined in the Supply Contract. The Integration does not include any reconfiguration or optimization work. Network Element shall mean Equipment and Software forming an operational unit, such as but not limited to MSC, HLR, SGSN, GGSN, NMS, RNC and Node-B (Base Transceiver Station) of the System. Punchlist shall mean a Document prepared by the Supplier classifying and detailing any Failures found during the course of the Acceptance Tests. Site Folder shall mean a folder in which information shall be filled in by the Supplier according to Supplier's standard procedures and shall be handed over to the Purchaser containing all Site related Documentation as well as the Punchlist. Special Sites shall have the meaning set forth in the Contract.

The process steps outlined above shall start at the discretion of Supplier if in its judgment the delivery and implementation status permits this and the individual process step’s prerequisites, if any, as stipulated in the relevant section are met.

2.
GENERAL
2.1
Network Elements and Services Subject to the Acceptance Procedures The Network Elements and Services delivered by the Supplier and Ordered by the Purchaser under the Contract are subject to the Acceptance Procedures specified in this Appendix, provided that such Services have been performed by the Supplier. If the Implementation Services or any part thereof are performed by the Purchaser, then the Acceptance Procedures detailed in this Appendix or in its Annexes shall apply, save for the Acceptance of Delivery in accordance with Clause 4.2 of this Appendix. The respective Network Element shall be deemed Accepted upon Delivery in accordance with the Delivery term set forth in the Contract and in accordance with Clause 4.2 of this Appendix. If a Failure is found after such deemed Acceptance the correction of such Failure shall be subject to the warranty terms and conditions set forth in the Contract.
2.2
Acceptance of Special Sites If (1) restrictions imposed by the owners of Special Site, (2) other equipment or factors effecting the Site, or (3) the Site itself calls for modification to the Specifications set forth in the Contract, the Parties shall agree on modified Specifications applicable to such Special Site. The Acceptance Test for the respective Special Site may be amended to the extent necessary in order to reflect the modified Specifications. The Test cases in Exhibit I hereto shall also apply to Special Sites. If the technical requirements of the Special Sites prevent the execution of the Test cases agreed in Exhibit I hereto, changes to the Test cases may only be made upon mutual agreement. If modification to the Acceptance Test is required, the Supplier shall submit to the Purchaser modified Acceptance Test cases and/or Acceptance Test plan, and if the Purchaser has not rejected the cases and/or plan by providing relevant, valid and detailed rationale for such rejection, then the Test cases and/or plan shall be deemed accepted five (5) calendar days prior to the scheduled beginning of such Acceptance Test.
2.3
Responsibilities The Supplier shall be responsible for the Acceptance Procedures relating only to those Network Elements, System and Services that are delivered and performed by the Supplier. During planning and execution of the Acceptance Tests performed by the Supplier, the Purchaser shall provide the Supplier with all necessary information of any relevant interface for interconnections of the Network Elements to other elements not supplied by the Supplier under the Contract, and, if required due to the above purposes, with trained personnel in order for the Supplier to be able to execute the Acceptance Tests.
2.4
Test Notification Unless otherwise stated in this Appendix the Supplier shall inform the Purchaser in writing at least three (3) calendar days prior to the commencement of any Acceptance Test hereunder.

Purchaser's Right to Witness All Acceptance Tests shall be performed by the Supplier and may be witnessed in whole or in part by the Purchaser. The Purchaser shall inform the Supplier if the Purchaser wishes to witness the same at least one (1) calendar day prior to the commencement date unless otherwise stated in this Appendix. Such right to witness shall not in any way delay the Acceptance Tests. The Supplier shall have the right to proceed with the Acceptance Test even if the Purchaser does not witness such Testing.
2.6
General Acceptance Criteria Unless otherwise stated in any of the Annexes of this Appendix the Acceptance Test(s) shall be deemed to be successfully completed when no Level 1 or 2 Failures as set forth in Clause 2.7 are revealed. Minor deficiencies or discrepancies (including without limitation Level 3 and 4 Failures) which do not prevent commercial operation of the Network Element shall not prevent the issuance of the Acceptance certificate in accordance with this Appendix. Minor deficiencies or discrepancies as referred to above or failures that may be discovered after the performance of the Acceptance Tests and/or Acceptance inspection and/or which are not outlined in the Punchlist of the respective Acceptance Test and/or Acceptance inspection shall be subject to the Supplier's warranties to the extent provided in the Contract and shall not prevent the issuance of the respective Acceptance. Unless otherwise expressly stated in this Appendix any Acceptance hereunder shall not be postponed if the Supplier cannot reasonably perform its obligations because the Purchaser (or its representatives) has not performed its responsibilities in whole or in part. All Acceptance Tests that can be carried out, shall be carried out. If these Acceptance Tests are successfully completed, then all Acceptance Tests shall be deemed to have been passed successfully. All deliveries and each individual Network Element as well as the Services shall be deemed Accepted, and the Site Acceptance and Acceptances related to services and deliveries detailed in the Annexes of this Appendix granted, on the date the same is put into commercial use irrespective of whether the relevant Acceptance Tests have been performed or not. Such deemed Acceptance shall be without prejudice to the Supplier’s obligations to remedy Failures under the applicable warranty terms and save for the Network Planning Services Acceptance Test to complete Testing under the agreed procedures. The actual Acceptance Dates hereunder shall be determined in accordance with the Contract.
2.7
Classification of Failures In case a Failure is discovered during the Acceptance Test, unless specified otherwise in Annexes specific to a special service, such Failure shall be classified by the Supplier as follows: Level 1 Failure: Service Outage or Health and Safety Affecting UMTS Core Network/RAN/microwave link and related Implementation Services: service outage, i.e. call and/or data processing, charging/accounting . NMS and related Implementation Services: loss of network operation and maintenance functionality due to Failures caused in NMS itself.

Construction Works : Failures causing health and safety hazards and major structural Failures, like missing grounding, missing (excluding temporary interruptions in power supply) or wrong power supply, or missing or wrong lightning protection. The above Failures shall be classified as Level 1 Failures, provided that such Failure (a) is not repaired automatically; (b) is repaired automatically, but reoccurs within 24 hours; or (c) cannot be promptly repaired by the Purchaser using the Delivered Documentation and the telephone hot-line support service. Level 2 Failure: Major UMTS Core Network/RAN/microwave link and related Implementation Services: call and/or data processing, charging /accounting and/or traffic handling of subscribers is affected in a significant and important manner. NMS and related Implementation Services: major loss of network operation and maintenance capability due to Failures caused in NMS itself. Construction Works : severe structure related Failures. Level 3 Failure: Minor UMTS Core Network/RAN/microwave link and related Implementation Services: inability to perform as specified, but does not affect call and/or data processing, traffic handling of the subscribers in any serious manner. NMS and related Implementation Services: inability to perform as specified, but does not affect the operation of the Purchaser's network in any serious manner due to Failures caused in NMS itself. Construction Works: a Failure in the Construction Works Services that does not affect the operation of the Network Element. Level 4 Failure: Other Failure UMTS Core Network/RAN/microwave link/NMS and related Implementation Services: Failure that does not fall under Level 1, Level 2 or Level 3 categories defined above. For the avoidance of doubt Failures caused by network elements or system components, including but not limited to transmission, that are not delivered by the Supplier shall not be regarded as a Failure. 2.8
Failure Recording, Categorisation and Corrective Actions Each Party shall without undue delay record and report to the other Party all Failures which have occurred during any inspection, meeting, or Acceptance Tests performed in accordance with this Acceptance Procedure using the following guidelines:
Any Failures will be recorded in detail; and Failures preventing scheduled Acceptance Test(s) or part thereof from being executed shall be recorded.
Failures in Services shall not prevent the performance of any Acceptance Tests unless the relevant Network Elements special network configuration as defined in Annexes of this Acceptance Procedure does not function due to such Failures. All Acceptance Tests that can be carried out, shall be carried out unless otherwise expressly stated in this Appendix.

In case a Failure is discovered during inspection, meeting, Acceptance Test, such Failure shall be classified by the Supplier in accordance with Clause 2.7 of this Acceptance Procedure. A Failure description and the Failure classification shall be recorded on a Punchlist which shall be attached to the respective Acceptance report as detailed under this Acceptance Procedure and shall be countersigned by both Parties upon completion of the inspection, meeting or Acceptance Tests. In case the Purchaser waives his right to witness the inspection, meeting or Testing the respective report and Punchlist is deemed accepted by the Purchaser as set forth in this Appendix. The Supplier shall provide to the Purchaser a written plan of corrective actions to be taken in respect of each Failure found. If the Purchaser does not reject the plan and provide relevant, valid and detailed reasons for such rejection within three (3) working days from the date on which the Supplier has forwarded the written plan to the Purchaser, the plan shall be deemed to be accepted when such period has elapsed. After the Supplier has corrected the major Failures (Level 1 and 2 Failures), the previously non successful part of the inspection or Acceptance Test shall be repeated on a date to be agreed upon, and in any case as soon as reasonably possible, unless the Parties agree that the repetition of the inspection or Testing is not required. In case that the results of such repeated testing can be verified by a test log or from the NMS no further inspection or testing at the site shall be performed. During repetition of inspection or Testing a Punchlist shall be issued only for Failures that occur in connection with the repeated part of the inspection or Acceptance Test. The Supplier shall correct the minor deficiencies (Level 3 and 4 Failures) under its warranty obligations. For the avoidance of doubt, no repetition of Acceptance Tests shall be performed after Supplier remedying said minor deficiencies or discrepancies. If an inspection or Acceptance Test in part or in whole cannot be carried out due to a Failure, the Parties shall mutually agree on a date to execute such outstanding inspection or Acceptance Test, but in any case such inspection or Acceptance Test shall be carried out as soon as reasonably possible. 2.9
Measurement and Test Tools and Personnel for Acceptance Testing Unless otherwise stated in this Appendix required measurement or Test tools as specified in Exhibit I will be provided by the Supplier for the Acceptance Testing. The cost for Purchaser's personnel witnessing the inspection or Acceptance Testing shall be borne by the Purchaser.
2.10
Site Folder The content and format of the Site Folder is outlined in Exhibit II of this Appendix. Documents required for the execution of the respective inspection or Acceptance Tests as detailed in Clause 4 are indicated in Exhibit I and will be provided to the Purchaser latest at the date of the respective Acceptance. The Site Folder will be completed after successful Site Acceptance and Delivered to the Purchaser.

3.
SITE READY FOR IMPLEMENTATION SERVICES -MEETING
3.1
Applicability If the Construction Works that were required to create the conditions of the site for the network element implementations service was performed by Purchaser, a "Site ready for Implementation Services" -meeting shall be held to verify that the Site is ready for Implementation without delays, interruptions, disturbances deviations from the environmental and installation requirements as set forth by the relevant product descriptions and no Failures of Level 1 and 2 exist. Such meeting shall take place before starting the Delivery of Network Element to the Site and that of the Implementation Services, and Purchaser shall notify the Supplier in writing not later than seven (7) calendar days prior to the meeting date that the Site is ready for the "Site ready for Implementation Services" –meeting in accordance with the procedures set forth in the Implementation Service Appendix of the Contract. The Supplier may, upon its discretion, waive the "Site ready for Implementation Services" – meeting and notify the Purchaser no later then four (4) days after receiving the notification about the planned "Site ready for Implementation Services" –meeting from Purchaser. The Purchaser is entitled to witness and take part in such meeting in accordance with Clause 2.5 unless Supplier waived such meeting.
3.2
Procedure The "Site ready for Implementation" -meeting shall be carried out in accordance with the Supplier's standard operating procedures. The Supplier shall complete Supplier's standard "Site ready for Implementation Services" -document during the meeting. All the results of the meeting shall be recorded and classified in such Document.
3.3
Results of the Meeting Based on the findings of the "Site ready for Implementation Services" -meeting recorded in the Document described above in Clause 3.2, the Supplier shall inform the Purchaser whether the Site is or is not ready for commencement of Implementation Services. The Supplier is entitled to reject the "Site Ready for Implementation Services" in accordance with Clause 3.1 above. In case any Failures are observed by the Supplier, the Supplier shall classify and detail in the "Site ready for Implementation Services" – document described in Clause 3.2 all such Failures observed by the Supplier during the "Site ready for Implementation Services"- meeting, which are to be remedied by the Purchaser to enable proper installation of the Network Element and performance of the Implementation Services. The Purchaser shall without unreasonable delay take all measures necessary to correct any Failures and shall notify the Supplier when such Failures have been remedied. Upon the receipt of notification submitted by the Purchaser to the Supplier that Failures have been remedied, a second "Site ready for Implementation Services" -meeting will be held on a mutually agreed date and the procedure outlined above in this Clause 3 shall be repeated. Any

additional cost incurred by the Supplier due to such repetition shall be refunded by the Purchaser. If the initially scheduled starting date of Implementation Services cannot be kept due to the Site not being Ready for Implementation Services, then the Time Schedule shall be extended with the number of calendar days that elapse until completion and/or corrections of the Construction Works Services by the Purchaser and the successful passing of the "Site ready for Implementation Services" –meeting.

4.
SITE ACCEPTANCE PROCEDURE
4.1
Overall Procedure The Site Acceptance is carried out on per Site basis. During the Site Acceptance the Services and Network Element is Tested to ensure that the Site fulfills the Acceptance Criteria in accordance with the Specifications set forth in the Contract. The Site Acceptance shall be performed by the Supplier in accordance with the Supplier's standard Test procedure defined in Supplier's installation, Commissioning and Integration manuals for each Network Element. For avoidance of doubt the scope of the Site Acceptance Procedure and the applicable Acceptance Tests shall be limited to the Network Element in question and to the services relevant to such Network Element. Therefore the Site Acceptance shall be granted on per Network Element basis. The Acceptance Tests shall take place immediately after the Supplier has notified the Purchaser that the Site is ready for Acceptance in accordance with Clause 2.4.
4.2
Acceptance of Delivery In case the Deliveries are made by the Supplier to the Purchaser, the following shall apply. The acceptance of delivery shall be based upon Supplier’s Delivery Note. Purchaser has the right to inspect the Equipment within three (3) working days of their arrival to ascertain correct quantities and to record visible damages, if any, and shall issue the countersigned Delivery note to the Supplier. In case Purchaser does not notify the Supplier in writing of the incorrectness or damaged Delivery, the aforementioned Delivery shall be deemed accepted after three (3) working days period from the date the Purchaser received the Delivery note.. In case the Purchaser does inspect the delivery then if any damage being discovered, the Supplier shall effect replacement Delivery as soon as reasonably possible. In case Purchaser does not notify the Supplier in writing of the incorrectness or damaged replacement Delivery, the aforementioned Delivery shall be deemed accepted after three (3) working days period from the date the Purchaser received the applicable Delivery note. Minor missing items and shortfalls which do not prevent the installation of the Equipment concerned shall not render the Delivery concerned incomplete for the purposes of the Contract on condition that the Supplier makes good such missing items in sufficient time for the proper installation and Testing of the Equipment by the Purchaser at the relevant Site. If the Implementation Services are not performed by the Supplier, the Site Acceptance, as set forth in Clause 4.3 of this Appendix, shall be deemed granted upon the Acceptance of Delivery according to the above in this Clause 4.2. The "Acceptance Date" shall mean the date of Delivery determined in accordance with the Delivery term agreed in the Contract.

4.3
Site Acceptance 4.3.1 Procedure The Test cases for Site Acceptance are defined in Supplier’s standard Site Folder. The Site Acceptance Test can be executed together with the Network Element Acceptance Test for microwave links according to Clause 4.4 if the microwave links have been implemented at the date of Site Acceptance Test. The Site Acceptance Test will consist of (1) inspection of the Hardware and Software of the Network Element to verify that the Site has been installed in accordance with the configurations as specified in the confirmed Purchase Order, and, (2) Commissioning Test as specified in Suppliers standard Site Folder and (3) the Integration Tests in accordance with Supplier's standard Integration Test as detailed in Supplier’s standard Site Folder. As a prerequisite for the Integration Test the Purchaser shall make available to the Supplier: a) the set of parameters required for Integration; and b) the fully functioning transmission lines with required capacity in case the provision is not expressly agreed in the Contract to be the responsibility of the Supplier; and c) the required second Site in order to implement a complete microwave link, unless the same is expressly agreed to be under the scope of performance of the Supplier under the Contract If any of the above prerequisites is not fulfilled by the Purchaser or the availability of the same is delayed due to reasons not attributable to the Supplier, the Site Acceptance shall be performed without the Integration Test and the Integration Test shall be deemed to have been completed and successfully passed. The Site Acceptance shall not be postponed if the Implementation Services or any part thereof cannot reasonably be performed because of reasons not attributable to the Supplier, including without limitation, if the source data, parameters and transmission line to be supplied by the Purchaser is not available and stable when the Integration should start. However, all those Tests that may be performed shall be carried out. Upon completion of the Site Acceptance Test the Supplier shall hand over a Site Acceptance report. Such report shall include completed data sheets (in paper or electronic form) containing the Test results for Tests run as well as the Punchlist with a classification and a detailed description of any Failure found or any part of the Site Acceptance Test remaining to be completed. 4.3.2
Acceptance Criteria and Site Acceptance Certificate In case no Failure of Level 1 and Level 2 is recorded in the report defined in Clause 4.3.1 above, the Supplier shall issue a Site Acceptance certificate for countersignature by the Purchaser. Within three (3) calendar days from the receipt of the certificate the Purchaser shall either

a) countersign the Site Acceptance certificate and return it to the Supplier; or b) reject the Acceptance by providing relevant, valid and detailed information on any Failure causing discrepancy with the Acceptance Criteria. In the absence of such return of the Acceptance certificate or of detailed rejection, the Site shall be deemed Accepted when the above defined three-calendar-day-period has elapsed. 4.4
Separate Network Element Acceptance Test for Microwave Links 4.4.1
Applicability The Network Element Acceptance of Microwave Links is applicable for the acceptance of those Microwave Links which is supplied by Supplier to Purchaser.
4.4.2
Procedure The Network Element Acceptance of Microwave Links may be subject to be separated from Site Acceptance Test at the discretion of the Supplier. The separate Network Element Acceptance for Microwave Links shall be performed in accordance with this Clause 4. Upon completion of the separate Network Element Acceptance Test for Microwave Link the Supplier will hand over a Network Element Acceptance for Microwave Links report that includes completed data sheets (in paper or electronic form) containing the Test results for Test run as well as a Punchlist with a classification and a relevant, valid and detailed description of any Failure found and of any part of the Network Element Acceptance Test remaining to be completed.
4.4.3
Acceptance Criteria and Network Element Acceptance Certificate for Microwave Links In case no Failure of Level 1 and Level 2 is recorded in the report defined in Clause 4.4.1 above, the Supplier shall issue a Network Element Acceptance certificate for the Microwave Link for countersignature by the Purchaser. Within three (3) calendar days from the receipt of the certificate the Purchaser shall either: a) countersign the Network Element Acceptance certificate and return it to the Supplier; or b) reject the Acceptance by providing relevant, valid and detailed information on any Failure causing discrepancy with the Acceptance Criteria. In the absence of such return of the Acceptance certificate or detailed rejection, the Microwave Link shall be deemed Accepted when above defined three-day-period has elapsed.

5.
NEW SOFTWARE RELEASE VERIFICATION
5.1
New Software Release Delivery The Supplier shall inform the Purchaser six (6) weeks in advance of new Software release Delivery. When the Supplier has performed its new Software release verification, the Supplier shall issue the "Ready for Delivery" notification at the latest one (1) week prior to the Delivery date.
5.2
Release Folder Releases are accompanied by a release folder, which shall include the following:

List of the features in the package;
Report of the new Software release verification performed by the Supplier in accordance with Clause 5.1, including Failures found and not corrected before the Delivery, including those identified in other similar networks;
Correction plan of the Failures, when applicable, and
Installation instructions.
New Software Release Test The purpose of the new Software release verification is to Test a new Software release before the Delivery to the Purchaser. New Software release Test is performed at the Supplier’s product line Test laboratories in accordance with Supplier's standard procedures. The Purchaser may participate in these verification Tests as observer if so agreed in advance.
5.4
Status Test of Purchaser’s Network Before integration of a new Software release in the System, a Status Test shall be performed by the Purchaser not earlier than three (3) calendar days prior to such integration. The contents of such Status Test shall be mutually agreed between the Supplier and the Purchaser. The Supplier will assist in the testing subject to a separate Order placed by the Purchaser and subject to a mutually agreed separate charge. The Status Test is performed in order to verify and record the status of the network before the new Software release is integrated in the System. This enables better verification of a root cause to any Failures that may appear during or after the integration of the new Software release.
